Cumulus Media has successfully refinanced its capital structure, securing five-year maturities and reducing its principal debt by approximately $33 million.

About Credit Suisse (Investment Banking M&A – Pre-March 2023 Merger)

  • Historical Context: Prior to its acquisition by UBS, Credit Suisse was a long-established global investment bank with a significant M&A advisory franchise, historically considered part of the bulge bracket. It operated a full-service model, providing M&A advice alongside underwriting and financing capabilities across major global markets.
    • The bank had strong European roots, particularly in Switzerland, combined with a substantial US presence and operations in Asia Pacific. Key sector strengths traditionally included Financial Institutions (FIG), Financial Sponsors (leveraging its strong historical position in leveraged finance), Technology, Healthcare, and Industrials.
    • However, in the period leading up to the merger (particularly 2021-2022), the Investment Bank faced significant headwinds from reputational damage (e.g., Archegos, Greensill), mounting losses, strategic uncertainty, and significant talent attrition, which impacted its overall standing and M&A momentum.

Rankings (Reflecting Performance in 2021/2022 – Pre-Merger)

Credit Suisse’s M&A rankings showed resilience but also reflected the growing challenges the bank faced.

  • Global: In the years preceding the merger (e.g., FY 2021, FY 2022), Credit Suisse typically ranked as a Top 10 global M&A advisor, often placing in the 6th to 9th range globally by announced deal value, according to major league table providers. Its position could fluctuate depending on the period and methodology.
  • USA: Maintained a solid Top 10 position in the competitive US market during this period.
  • Europe: Remained a strong player, frequently ranking within the Top 5 to Top 10 in Europe, leveraging its Swiss base and sponsor relationships.
  • Note: Rankings in late 2022 and very early 2023 likely reflected increased pressure due to the bank’s widely publicized difficulties and talent departures.

Key Changes (Leading up to the March 2023 Merger)

The period before the merger was defined by significant turmoil and attempts at radical transformation:

  • Major Strategic Overhaul (Late 2022): Credit Suisse announced a fundamental restructuring aimed at drastically reshaping its Investment Bank.
    • A key element was the plan to carve out much of the advisory and capital markets business into a revived CS First Boston (CSFB) brand, intended to operate as a more independent, advisory-focused boutique model, potentially with external capital.
    • This overhaul aimed to significantly reduce risk-weighted assets and refocus on less capital-intensive businesses.
  • Leadership Changes: The restructuring involved significant leadership changes within the Investment Bank and at the Group level (Ulrich Körner became Group CEO in mid-2022). Michael Klein was designated to lead the planned CS First Boston entity.
  • Significant Talent Drain: The most critical ‘change’ impacting the M&A division was the substantial and accelerating departure of senior M&A bankers throughout 2022 and early 2023. Uncertainty surrounding the bank’s future, restructuring plans, and bonus payouts led to a significant outflow of talent to competitors.
  • De-Risking and Capital Reduction: A core strategic imperative was reducing the Investment Bank’s capital consumption and risk profile, potentially impacting its ability to commit large amounts of capital alongside advisory mandates compared to healthier peers.
  • Focus Shift: The planned CSFB strategy signaled a move towards a more purely advisory-led model, attempting to separate it somewhat from the troubled parent bank.

Outcome

These restructuring efforts and the planned CS First Boston spin-off were ultimately overtaken by the crisis of confidence in March 2023, leading to the emergency, government-orchestrated acquisition by UBS. Following the merger, the independent Credit Suisse M&A franchise ceased to exist, with parts being integrated into UBS and significant portions wound down.

Investment banks attracted the best and the brightest.

  • Slide structure/design: Learn how complicated concepts are structured and designed in PowerPoint
  • Analysis approach: See exactly how complex financial methods are presented
  • Strategy and communication: M&A deals are not (normally, other than many Duff and Phelps decks) cookie-cutter. There’s a host of topics that need to be dealt with
  • Morbid interest: I used to do this for a living, but it’s still interesting to see how PPT are made… but then maybe it’s just me and so FML 😉
