About the Equity Commonwealth deal

In 2013, Corvex Management and The Related Companies, expressed interest in acquiring CommonWealth REIT. They reported holding around a 10% stake in the company. Corvex and Related believed that CommonWealth REIT’s real estate assets were significantly undervalued due to misaligned incentives with its externally advised management structure and a track record of underperformance. They proposed changes such as an internal management structure, operational enhancements, and a more shareholder-friendly capital allocation policy to maximize long-term value for shareholders. If the board failed to respond adequately, Corvex and Related were prepared to seek the removal of the board or acquire all outstanding shares at a premium. CommonWealth REIT responded by raising questions about Corvex and Related’s past actions.
