About the deal

In 2013, JANA Partners, an activist investment firm, engaged in a notable investment and campaign with Agrium, a major Canadian retail supplier of agricultural products and services. JANA Partners, known for its strategy of taking significant positions in companies to advocate for financial or operational changes to boost shareholder value, targeted Agrium with the aim of enhancing its performance and unlocking value for shareholders.

JANA’s approach included a push for Agrium to spin off its retail distribution business from its wholesale nutrient production business, arguing that the separate entities would be more valuable than the combined company. JANA believed that the market was undervaluing the combined entity due to its conglomerate structure, and that separate, focused companies could achieve higher valuations and operate more efficiently.

In addition to advocating for the spin-off, JANA proposed a series of other measures aimed at improving shareholder returns, including cost reductions, capital allocation improvements, and enhanced corporate governance practices. JANA sought to implement these changes by gaining seats on Agrium’s board of directors, nominating a slate of directors to be voted on by shareholders.

Agrium strongly opposed JANA’s proposals, defending its integrated business model and arguing that the synergy between its retail and wholesale segments created significant value for shareholders. The company also took steps to bolster its defense, including enhancing its shareholder dividend and buyback programs as a means to return value to shareholders and signal confidence in its existing business model.

The conflict culminated in a closely watched proxy battle at Agrium’s annual shareholder meeting. Despite JANA’s efforts, its proposals and nominated directors were ultimately rejected by Agrium’s shareholders, allowing the company to continue operating with its integrated business model. The proxy battle was significant for its demonstration of the challenges activist investors can face when attempting to persuade shareholders to support major strategic changes, especially in well-established companies with strong management teams.
