About the deal

In 2014, Pershing Square Capital Management, led by Bill Ackman, made a significant investment in the pharmaceutical sector by partnering with Valeant Pharmaceuticals in an attempt to acquire Allergan, the maker of Botox. This strategic move was notable not just for its ambition but also for the unconventional approach of a hedge fund collaborating directly with a company to pursue a takeover of another company.

Pershing Square built a substantial position in Allergan shares, becoming one of its largest shareholders. The strategy was to support Valeant in its bid to take over Allergan, a move that if successful, would create a global pharmaceutical giant. The partnership between Pershing Square and Valeant aimed to leverage Valeant’s aggressive acquisition strategy, which had significantly expanded its portfolio of pharmaceutical products and companies over the years.

The bid for Allergan was highly publicized and became contentious. Allergan resisted the takeover attempt, leading to a protracted battle involving lawsuits, public statements, and appeals directly to shareholders. Allergan’s defense strategies included seeking white knight companies and exploring other strategic alternatives to increase shareholder value and fend off Valeant’s advances.

Ultimately, the takeover bid for Allergan by Valeant, backed by Pershing Square, was unsuccessful. Allergan escaped the takeover by agreeing to be acquired by Actavis (later known as Allergan, plc after the acquisition), another pharmaceutical company, in a deal more favorable to Allergan’s interests and arguably more palatable to its shareholders.

The Valeant-Pershing Square attempt to acquire Allergan ended with Pershing Square making a substantial profit from its investment in Allergan, thanks to the increase in Allergan’s stock price driven by the acquisition battle. However, the episode also raised questions about the ethics and legality of hedge funds directly partnering with companies to pursue takeovers, leading to regulatory scrutiny and legal challenges. The aftermath saw Valeant’s business practices and acquisition-driven growth model come under heavy criticism, leading to a significant decline in its market value.
