Antero Midstream Partners LP

About

Antero Midstream Partners LP is a company focused on developing and operating midstream energy infrastructure, primarily in the Appalachian Basin. Headquartered in Denver, Colorado, Antero Midstream provides services such as gathering, compression, processing, and water handling for natural gas and natural gas liquids (NGLs). These services are critical for supporting the energy production activities of its primary customer, Antero Resources Corporation.

The company was initially formed to handle Antero Resources’ midstream assets, including high-pressure gas gathering pipelines and compressor stations. Antero Midstream’s infrastructure is essential in transporting natural gas from production sites to processing facilities and, ultimately, to market.

In 2024, Antero Midstream acquired additional gathering and compression assets in the Marcellus Shale for $70 million, enhancing its operational capabilities. This acquisition is part of their strategy to expand and improve their midstream infrastructure, aiming to increase their service capacity and operational efficiency. The company has projected strong financial performance for 2024, with expected net income between $415 million and $455 million, and adjusted EBITDA between $1.035 billion and $1.075 billion.

Sears Hometown & Outlet Stores

About

Sears Hometown and Outlet Stores, Inc. was a national retailer specializing in home appliances, hardware, tools, and lawn and garden equipment. The company operated under various formats including Sears Hometown Stores, Sears Outlet, Sears Hardware and Appliance, and Sears Home Appliance Showrooms. These stores offered a range of new, used, reconditioned, and overstocked merchandise at discounted prices.

Sears Hometown and Outlet Stores began as a subsidiary of Sears Holdings but was spun off as a separate publicly traded entity in 2012. At the time of its spin-off, the company operated numerous stores across the United States and expanded its operations to over 1,200 locations, including franchise and dealer-operated stores.

The company’s business model focused on providing customers with a broad assortment of products, both in-store and online, featuring brands such as Kenmore, Craftsman, and DieHard. Sears Outlet stores were known for their discounted prices on appliances, apparel, sporting goods, and other household items, often selling items that were out-of-carton, discontinued, or scratch-and-dent.

In 2019, Sears Hometown and Outlet Stores sold its Outlet division to the Franchise Group, which rebranded the stores as American Freight by 2020. Despite efforts to transform and streamline operations, the company faced significant financial challenges and legal disputes, leading to a complex corporate history marked by multiple ownership changes and restructuring efforts.

About PJ Solomon

Important Note: PJ Solomon rebranded to Solomon Partners in 2022. This summary reflects the current name and structure while acknowledging the legacy.

About Solomon Partners (Investment Banking M&A – Early 2025)

Solomon Partners (formerly PJ Solomon) is a respected independent investment banking advisory firm known for its deep industry specialization and focus on providing strategic M&A and financing advisory services. As of early 2025, the firm operates with an advisory-centric model, free from conflicts associated with underwriting or lending.

Solomon Partners leverages decades of experience and concentrates its expertise in specific core sectors, including its historical stronghold in Retail, along with Consumer, Technology, Media & Telecommunications (TMT), Healthcare, Infrastructure, Power & Renewables, and Industrials.

The firm advises corporations (ranging from middle-market to large-cap within its sectors), financial sponsors, and boards on M&A, divestitures, capital raising, and restructuring. It prides itself on senior banker attention, long-term relationships, and providing tailored advice grounded in deep sector knowledge.

Solomon Partners maintains an affiliation with Natixis, providing clients access to broader global capabilities and financing options when needed, while operating independently.

Rankings (2024 & Early 2025)

Solomon Partners’ rankings reflect its specialized, sector-focused approach rather than broad global volume.

  • Global/US Overall Value: Solomon Partners does not typically rank within the Top 15 or Top 20 firms in overall global or US announced M&A deal value league tables, which are dominated by bulge brackets and mega-deals.
  • Sector Strength: The firm’s true competitive positioning lies within its specific industry verticals. While public league tables purely by sector advisory value can be inconsistent, Solomon Partners is recognized as a leading advisor and highly active player within its core sectors like Retail, Consumer, and Infrastructure. It frequently competes effectively against larger banks on mandates within these areas of deep expertise.
  • Middle Market Presence: A significant portion of its deal flow resides in the middle market and upper-middle market segments within its focus sectors.

Early indications for 2025 suggest Solomon Partners continues to be a sought-after advisor within its specialized industries, leveraging its deep knowledge base.

Key Changes (2024 & Early 2025)

  • Leadership Stability: Marc Cooper continued to lead the firm as CEO, providing strategic continuity and reinforcing the firm’s established culture and sector focus.
  • Continued Sector Build-out & Deepening: A primary strategic focus throughout 2024 remained the continued strengthening and expansion of its key industry verticals. This involved deepening expertise in established areas (like Retail/Consumer) while actively building out newer focus groups (e.g., Technology Services, Infrastructure, Healthcare).
  • Strategic Senior Hires: Consistent with its growth model, Solomon Partners continued its strategy of selectively hiring experienced Managing Directors and senior bankers throughout 2024 and into early 2025 to bolster specific sector teams and enhance client coverage.
  • Leveraging Natixis Affiliation: Continued to utilize its affiliation with Natixis strategically to provide clients with access to global reach and financing solutions when beneficial, while maintaining its independent advisory model.
  • No Major Acquisitions (of other firms): The firm’s growth remained centered on organic expansion and strategic hiring within its chosen sectors, rather than acquiring other advisory firms.
  • Market Adaptation: Navigated the 2024 market by leveraging its deep sector insights to advise clients through economic uncertainty, focusing on strategic transactions, portfolio optimization, and sponsor-related activity within its core industries.

About the Investment Banking Decks here

Investment banking presentations are rarely if ever, made public. When I was junior in M&A, it would have been so helpful to have access to see how banking decks were made and how other banks made them.

The issue is that they are never made available, so I set out to help you.

What you will find here

You will find 2-4 real M&A decks from one bank. They are in a fancy form of PDF you can open and go through (best on your computer). If you want to see more, there are options to purchase more access (which funds a little team of analysts to make updates).

If you want to see more, this is part of a collection of 67 free M&A presentations from the top 20 banks (based on ranking and also the quality of presentation for you to learn from).

Why the heck should you care?

Investment banks attracted the best and the brightest.

  • Slide structure/design: Learn how complicated concepts are structured and designed in PowerPoint
  • Analysis approach: See exactly how complex financial methods are presented
  • Strategy and communication: M&A deals are not (normally, other than many Duff and Phelps decks) cookie-cutter. There’s a host of topics that need to be dealt with
  • Morbid interest: I used to do this for a living, but it’s still interesting to see how PPT are made… but then maybe it’s just me and so FML 😉

Who this will help

  • You want to work in banking: There are a lot of applicants. Knowing the job helps you answer questions
  • You work in banking: Even if you’re an MD, you need to know how the best are structuring their thoughts/analysis
  • You write presentations: You can’t buy learnings like this. You can learn from the slides
  • You have a curious mind: Good for you
